The legal agreement between you and DomainerGarden LLC for use of the Service.

Welcome to DomainerGarden.
These Terms of Service (“Terms”) govern your access to and use of the DomainerGarden website, application, software, services, and related features (collectively, the “Service”).
The Service is provided by DomainerGarden LLC (“DomainerGarden,” “we,” “us,” or “our”).
By creating an account, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, you may not use the Service.
If you are using the Service on behalf of a company or other organization, you represent that you have authority to bind that organization to these Terms.
1. Our Service
DomainerGarden is a domain portfolio management and analytics platform designed to help domain investors organize, monitor, analyze, and manage information about their domain portfolios.
The Service may include features such as:
- Domain portfolio management
- Domain categorization and tagging
- Registrar and marketplace management
- Domain expiration and renewal monitoring
- Renewal cost tracking
- Marketplace listing management
- Acquisition and sale tracking
- Portfolio valuation and analytics
- Profit and return-on-investment calculations
- Email alerts and notifications
- Data import and export
- API access for eligible plans
- Administrative and account management features
DomainerGarden is a management and analytics platform. We are not a domain registrar, domain marketplace, domain broker, escrow provider, or domain transaction intermediary.
We do not sell or transfer domain names on your behalf unless a specific feature expressly states otherwise.
2. Eligibility
You must be legally capable of entering into a binding agreement to use the Service.
If you are under the age required to enter into contracts in your jurisdiction, you may use the Service only with the involvement and consent of a parent or legal guardian where permitted by applicable law.
You are responsible for ensuring that your use of the Service complies with all laws and regulations applicable to you.
3. Accounts
Some features require you to create an account.
You agree to provide accurate and current information when creating your account and to keep that information updated.
You are responsible for:
- Maintaining the confidentiality of your account credentials
- Protecting access to your account
- All activity occurring through your account
- Notifying us promptly if you believe your account has been compromised
You may not share, sell, transfer, or knowingly provide unauthorized access to your account.
We may require additional verification or security measures when reasonably necessary to protect the Service or your account.
4. Your Portfolio Data
You retain ownership of information and content that you submit to the Service, including domain information, categories, tags, acquisition information, renewal information, listings, sales records, financial information, notes, and other information you provide (“Your Data”).
You grant DomainerGarden a limited, non-exclusive, worldwide license to host, store, reproduce, process, transmit, and otherwise use Your Data only as reasonably necessary to:
- Provide and operate the Service
- Display and organize Your Data for you
- Perform calculations and analytics requested through the Service
- Provide alerts and notifications
- Provide customer support
- Maintain security and prevent abuse
- Improve and maintain the Service
- Comply with legal obligations
We do not acquire ownership of Your Data merely because you use the Service.
We do not sell your individual domain portfolio information to third parties for their own independent marketing purposes.
5. Portfolio Confidentiality
Your portfolio information may contain sensitive business information, including domain names, acquisition costs, renewal costs, estimated values, listing prices, sales information, and profitability information.
We treat this information as private account information and do not intentionally make your private portfolio publicly available through the Service without your direction.
However, no internet service can guarantee absolute security or confidentiality. We may disclose information when reasonably necessary to provide the Service, protect our rights, comply with law, respond to legal process, or prevent fraud, abuse, or security threats.

6. Accuracy of Information
You are responsible for the accuracy and completeness of information you enter into the Service.
DomainerGarden does not independently verify:
- Domain ownership
- Registrar information
- Renewal dates
- Domain valuations
- Acquisition costs
- Sale prices
- Marketplace listings
- Estimated portfolio values
You should independently verify important information with your registrar, marketplace, broker, or other relevant provider.
7. Valuations, Analytics, Profit, and ROI
The Service may provide estimated valuations, portfolio analytics, cost calculations, profit calculations, and return-on-investment calculations.
These calculations are provided for informational and management purposes only.
They are not financial, investment, tax, accounting, legal, or professional advice.
Estimated domain values are not guarantees that a domain can be sold for a particular amount.
Actual costs and returns may differ from calculations displayed by the Service.
You are solely responsible for decisions you make based on information presented through the Service.
8. Domain Renewals and Expiration Monitoring
The Service may provide expiration monitoring, renewal reminders, automatic renewal settings, and email alerts.
These features are provided as management tools and do not replace your responsibility to manage your domains with the applicable registrar.
We do not guarantee that:
- Every expiration date is accurate
- Every renewal reminder will be delivered
- Every email will be received
- A domain will be renewed successfully
- A registrar will process a renewal
- A domain will not expire
You remain solely responsible for maintaining your domain registrations and ensuring that your domains are renewed when necessary.
9. Third-Party Services
The Service may interact with or provide information about third-party services, including domain registrars, marketplaces, payment providers, email providers, hosting providers, analytics services, and other third parties.
Third-party services are governed by their own terms and policies.
DomainerGarden is not responsible for the availability, security, accuracy, pricing, performance, or actions of third-party services.
We do not guarantee that third-party integrations or services will remain available.
10. Plans and Limits
DomainerGarden may offer free and paid subscription plans.
The Free Plan is not a free trial and does not automatically convert into a paid subscription.
The Free Plan may include usage limits, including a limit of up to 50 domains and no API access, as described on the applicable pricing page.
Paid plans may provide higher limits and additional features.
We may change plan features, limits, or pricing in accordance with applicable law and the terms of your subscription.
Plan limits may be enforced automatically.
If you exceed the applicable limits of your plan, you may be required to upgrade, reduce your usage, or otherwise comply with the applicable plan limits.
11. Subscriptions and Payments
Paid subscriptions are billed through our third-party payment processor, currently Lemon Squeezy.
Subscription prices, billing frequency, taxes, and other applicable charges are presented before purchase.
By purchasing a subscription, you authorize the applicable payment processor to charge the selected payment method according to the subscription terms.
We do not intentionally store complete payment card numbers or security codes on our own systems.
Payment processing is subject to the applicable payment provider’s terms and policies.
12. Cancellation and Refunds
You may cancel a paid subscription according to the cancellation options provided through the Service or payment provider.
Unless otherwise required by applicable law, cancellation generally prevents future renewal but does not automatically provide a refund for the current billing period.
Refunds may be issued where required by law or in accordance with our Refund & Cancellation Policy.
13. Downgrades
If you downgrade from a paid plan to a plan with lower limits, your existing data may exceed the limits of the new plan.
Unless otherwise stated, we will not automatically delete your data solely because you downgrade.
However, you may be unable to add new items or access certain features until your account is within the applicable plan limits.
We may establish reasonable procedures for handling data that exceeds applicable limits.
14. Acceptable Use
You may not use the Service to:
- Violate applicable law
- Infringe intellectual property or privacy rights
- Commit fraud or facilitate fraudulent activity
- Attempt to gain unauthorized access to accounts or systems
- Interfere with the operation of the Service
- Introduce malware or malicious code
- Abuse APIs or automated access mechanisms
- Circumvent plan limits or security controls
- Scrape or collect data from the Service without authorization
- Reverse engineer the Service except where legally permitted
- Use the Service to facilitate unlawful activity

15. API Access
API access may be available only to eligible paid plans.
API access is subject to applicable plan limits, rate limits, documentation, and API Terms of Use.
We may suspend or restrict API access where reasonably necessary to protect the Service, prevent abuse, or enforce applicable limits.
16. Intellectual Property
The Service, including its software, design, branding, interfaces, text, graphics, trademarks, and other materials provided by DomainerGarden, is owned by or licensed to DomainerGarden and is protected by applicable intellectual property laws.
Except as expressly permitted by these Terms, you may not copy, reproduce, modify, distribute, sell, lease, or create derivative works from the Service.
You retain ownership of Your Data.
17. Feedback
If you provide suggestions, ideas, or feedback about the Service, you grant DomainerGarden the right to use that feedback without restriction or compensation, provided that such use does not disclose your confidential information.
18. Service Availability
We will make reasonable efforts to keep the Service available, but we do not guarantee uninterrupted or error-free operation.
The Service may occasionally be unavailable due to:
- Maintenance
- Updates
- Security events
- Technical failures
- Third-party service interruptions
- Internet or infrastructure failures
- Events beyond our reasonable control
19. Suspension and Termination
We may suspend or terminate access to the Service if:
- You materially violate these Terms
- You engage in fraud, abuse, or unlawful activity
- Your use creates a security risk
- Your account is involved in unauthorized access
- Required by law
- Necessary to protect DomainerGarden or other users
Where reasonably practicable, we may provide notice and an opportunity to resolve the issue.
You may stop using the Service at any time.
20. Account Deletion
You may request deletion of your account and associated personal information by contacting support@domainergarden.com or using available account deletion functionality.
Certain information may be retained where required by law, necessary for legitimate business purposes, required to resolve disputes, or needed to prevent fraud and abuse.

21. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”
DOMAINGERGARDEN DISCLAIMS WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, EXCEPT WHERE SUCH WARRANTIES CANNOT LAWFULLY BE EXCLUDED.
WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT INFORMATION PROVIDED THROUGH THE SERVICE WILL ALWAYS BE COMPLETE, CURRENT, OR ACCURATE.
22. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DOMAINGERGARDEN LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITY, OR GOODWILL ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO DOMAINGERGARDEN FOR THE SERVICE DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) USD $100.
These limitations do not apply where prohibited by applicable law.
23. Indemnification
To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless DomainerGarden LLC and its affiliates, officers, employees, contractors, and service providers from claims, liabilities, damages, losses, and expenses arising from:
- Your violation of these Terms
- Your unlawful use of the Service
- Your infringement of another person’s rights
- Your misuse of the Service
24. Changes to These Terms
We may update these Terms from time to time.
When we make material changes, we will provide reasonable notice through the Service, by email, or by other appropriate means.
Your continued use of the Service after the effective date of updated Terms constitutes acceptance of the revised Terms, to the extent permitted by law.
25. Governing Law
These Terms are governed by the laws of the State of [STATE OF FORMATION], United States, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Any dispute-resolution provisions will be applied subject to mandatory rights available under the laws applicable to you.
